Upway Referral Contest - Official Rules
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.
OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA (EXCLUDING ALASKA AND HAWAII) WHO ARE AT LEAST 18 YEARS OLD (OR THE AGE OF MAJORITY IN THEIR STATE OF RESIDENCE, IF HIGHER).

1. Sponsor
Upway USA Inc., 134 Morgan Avenue, Brooklyn, NY 11237 (“Sponsor”).
2. Eligibility
The Upway Referral Contest (the “Contest”) is open only to legal residents of the fifty (50) United States and the District of Columbia (excluding Alaska and Hawaii) who are eighteen (18) years of age or older at the time of entry. Void where prohibited or restricted by law.
The following individuals are not eligible to enter or win a prize: employees, representatives, agents, directors, and officers of the Sponsor, its parents, subsidiaries, affiliated companies, and marketing agencies, or of any other parties involved in the administration of the Contest (Sponsor, collectively with the foregoing, the “Contest Parties”) and each of the immediate family members of such excluded individuals (i.e., spouses, parents, children, siblings and the “steps” of each) and all persons living in the same household of each.
By participating in this Contest, entrants agree to be bound by these official rules (“Official Rules”) and by the decisions of the Sponsor, which shall be final in all matters relating to the Contest.
3. Contest Period
The Contest begins on November 14, 2025, at 12:00 AM EST and ends on December 4, 2025, at 11:59 PM EST(“Contest Period”).
Sponsor’s computer is the official timekeeping device for this Contest.
4. How to Enter
No purchase is required to enter or win.
During the Contest Period, participants can register for a personal referral code via Sponsor’s website or platform. Entrants may share their unique referral code with friends or contacts.
Each time a new customer uses the entrant’s referral code to complete a qualified purchase of an e-Bike on upway.co during the Contest Period, the entrant will receive one (1) qualified referral.
At the end of the Contest Period, the entrant with the highest number of qualified referrals will be declared the potential winner.
Free Alternate Method of Entry (AMOE):
To enter without making or referring any purchase, send an email to helpdesk@upway.shop with the subject line “Upway Referral Contest Entry” and include your full name, mailing address, and a brief (50 words or less) explanation of why you love e-bikes. Each valid email received during the Contest Period will count as one (1) qualified referral for purposes of the Contest.
Limit one (1) AMOE entry per person. Sponsor reserves the right to verify eligibility and compliance.
5. Winner Determination
This Contest is a skill-based competition. Chance plays no part in the determination of the winner.
At the conclusion of the Contest Period, Sponsor will tabulate the total number of valid, qualified referrals for each participant.
The participant with the highest verified number of qualified referrals will be declared the potential winner.
In the event of a tie, the winner will be the entrant whose qualified referrals achieved the earliest cumulative timestamp according to Sponsor’s records.
Sponsor reserves the right to verify all referral activity and disqualify any entrant engaging in fraud, fake referrals, or other unfair practices.
6. Prize
One (1) prize:
Apple iPhone 17 Pro, 256GB (Approximate Retail Value: $1,099 USD)
Prize is non-transferable and may not be substituted or exchanged for cash, except at Sponsor’s sole discretion in the event the prize becomes unavailable, in which case Sponsor may substitute a prize of comparable or greater value.
Winner is solely responsible for any and all federal, state, and local taxes and any other fees or costs associated with the acceptance or use of the prize, including any applicable shipping ot delivery costs. Sponsor will not cover or reimburse any shipping fees related to the prize delivery.
7. Winner Notification and Verification
The potential winner will be notified via email on or about December 10, 2025.
The potential winner will be notified by e-mail or phone depending on the information provided during entry. If the potential winner does not respond within forty-eight (48) hours, fails to provide required information, or is found to be ineligible, Sponsor may disqualify that entrant and award the prize to the entrant with the next-highest verified number of referrals.
All decisions by Sponsor are final.
8. Publicity
Except where prohibited by law, by accepting a prize, the winner hereby grants Sponsor and its representatives an irrevocable, perpetual, worldwide, royalty-free, non-exclusive and sub-licensable right and license to use, distribute, and publicly display the winner’s name and information about the prize award, in any way, at any time, in any and all media, including without limitation, for use in advertising and marketing, without any additional approval or consideration. By accepting a prize, the winner represents and warrants that he or she has the right to grant the foregoing license.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT (I) THE CONTEST PARTIES SHALL NOT BE RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING OUT OF OR CONNECTED WITH (A) THE CONTEST OR (B) ANY PRIZE AWARDED, AND (II) YOUR REMEDIES FOR ANY CLAIMS RELATING TO THE CONTEST ARE LIMITED TO YOUR ACTUAL OUT-OF-POCKET EXPENSES OF PARTICIPATION IN THE CONTEST (IF ANY).
The Contest Parties assume no liability and are not responsible for, and by entering the Contest you hereby waive and release the Contest Parties from, any actions, claims, damages, losses, or injuries of any kind (collectively, “Claims”) arising in connection with the Contest and/or the receipt, use, or misuse of any prize, including without limitation, Claims relating to:
(i) the malfunction of any computer, telephone, mobile device, network, satellite, hardware, software, or communications line;
(ii) unauthorized human intervention;
(iii) incorrect, delayed, or inaccurate transmission, winner notifications, prize claims, or other information or communications relating to the Contest, or the failure to capture or transmit any such information;
(iv) damage to any person’s computer or mobile device; or
(v) any errors in these Official Rules, winner notifications, or other announcements or communications relating to the Contest.
In the event of any ambiguity or error(s) in these Official Rules, Sponsor reserves the right to clarify or modify these Official Rules however it deems appropriate to correct any such ambiguity or error(s). If, due to an error or for any other reason, more legitimate prize claims are received than the number of prizes stated in these Official Rules, Sponsor reserves the right to award only a single prize from a random drawing of all eligible entries. In no event will more than the stated number of prizes (i.e., one prize) be awarded.
LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL OTHER REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
Sponsor may prohibit an entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten, or harass any other entrants or any Contest Parties.
For California Residents Only: You hereby waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
10. Sponsor’s Right to Modify or Cancel
Sponsor reserves the right to modify, suspend, or cancel the Contest if fraud, technical failures, or any other factor beyond Sponsor’s control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion.
11. Governing Law
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the rights and obligations of entrants and the winner, and the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of State of New York, without giving effect to any choice of law or conflict of law rules. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
12. Privacy
Any personally identifiable information collected during an entrant’s participation in the Contest will be collected and used by Sponsor and its designees for the administration and fulfillment of the Contest and as otherwise described in these Official Rules and Sponsor’s privacy policy available at https://upway.co/policies/privacy-policy.
13. Winner List
For the name of the winner, email helpdesk@upway.shop with the subject line “Upway Referral Contest Winner List - December 2025.” Requests must be received no later than sixty (60) days after the end of the Entry Period.
